Terms & Conditions
These terms govern your use of Qovox AI, a service that compresses machine-learning models and compiles them to run in the browser through WebAssembly. By creating an account or using the service, you agree to them.
1. The service
Qovox AI takes pre-trained models you upload (such as ONNX or PyTorch files), applies compression and quantization, and returns an output package: a WebAssembly module, a JavaScript wrapper and an optimization report. The service is offered to you by Qovox, a Texas C-corporation ("Qovox", "we", "us"). Features, limits and pricing may evolve; the plan details shown on our pricing page apply to your plan.
2. Accounts
- You must be at least 18 years old, or the age of majority where you live, and able to form a binding contract.
- Provide accurate information when you register and keep it up to date, including a working email address. You must confirm your email with the code we send.
- Choose a unique username. We may reclaim or change usernames that impersonate others or violate these terms.
- You are responsible for keeping your credentials secure and for all activity under your account. Tell us immediately if you suspect unauthorized use.
- One person or entity per account. Do not create accounts to avoid limits, bans or credit rules.
3. Credits and plans
Qovox AI uses credits to meter compile jobs.
- Starting balance. New accounts on the Free plan receive 50 credits.
- How credits are used. A compile job consumes credits based on the job, for example model size and the options you choose. The cost is shown in the dashboard before you start a job, and credits are deducted when the job is accepted.
- Plan limits. Each plan has its own limits, such as monthly compiles, maximum model size and priority processing. Limits are enforced in addition to your credit balance.
- Failed jobs. If a job fails because of an error on our side, we may restore the credits used. We are not required to restore credits for jobs that fail because of an invalid, unsupported, corrupted or oversized model, or because you cancelled.
- No cash value. Credits are a usage allowance, not money or a stored-value instrument. They cannot be exchanged for cash, transferred between accounts, or resold.
- Refunds. Purchased credits and paid exports are non-refundable except where required by law or stated otherwise at purchase.
- Changes and abuse. We may adjust credit costs, allowances and plan terms going forward, with notice for material changes to paid plans. We may remove credits obtained through fraud, exploitation of bugs, or violation of these terms.
- Taxes and billing. Where paid plans apply, prices exclude taxes unless stated. Subscriptions renew until cancelled, and you can cancel from your account before the next billing date.
4. Your models and content
- Ownership. You keep all rights in the models you upload and in the output packages generated from them. We claim no ownership of either.
- Permission to process. You grant us a limited, temporary licence to store and process your uploaded models solely to run your jobs and provide the service. Our handling of that data, including automatic deletion, is described in our Privacy Policy.
- Your rights and warranties. You confirm that you own each model you upload or have every licence and permission needed to compress and distribute it, including any open-source or third-party licence terms attached to model weights, and that your upload does not infringe anyone's rights or break the law.
- Feedback. If you send us suggestions, we may use them without obligation to you.
5. Acceptable use
You agree not to:
- Upload models or content that are unlawful, infringing, or that you have no right to use, or that contain malware or are designed to harm users or systems.
- Use the service, or models compressed with it, to build or deploy systems intended to deceive, harass, surveil people unlawfully, discriminate unlawfully, or cause physical, financial or psychological harm.
- Probe, scan or test the vulnerability of the service, bypass rate limits, credit metering or plan limits, or interfere with other users' access.
- Reverse engineer, decompile or attempt to extract the source code or optimization techniques of our compiler, except where the law expressly allows it despite this restriction.
- Use automated means to create accounts or to send requests beyond documented limits.
- Resell or offer the service as your own compile service without our written agreement, unless your plan expressly allows it.
- Use the service to develop a competing product by systematically querying it.
6. Compressed models and misuse
You are responsible for what you do with the models you compress and deploy. Qovox provides a compression tool. We do not review, endorse or control how output packages are used once they leave our service.
- Behavior may change. Quantization and compression (for example INT8 or INT4) can reduce accuracy or change model behavior compared with the original model. Compression metrics in the optimization report are estimates measured under our test conditions and are not a guarantee of results in your application.
- Test before you deploy. You must validate compressed models for your own use case, data and devices before releasing them to users.
- Safety-critical use. Do not rely on outputs of compressed models as the sole basis for decisions where failure could cause death, injury or serious harm, including automotive, medical, aviation, industrial or emergency systems, without your own independent safety validation, redundancy and human oversight.
- Misuse disclaimer. To the fullest extent permitted by law, Qovox is not liable for any harm, loss, claim or regulatory action arising from the use or misuse of compressed models or output packages by you or by anyone you give them to, including use that violates law, third-party rights or these terms.
- Your users. If you ship a compressed model inside a product, you are responsible for your own terms, disclosures, security and compliance obligations toward your users.
7. Our intellectual property
The Qovox AI service, including its website, compiler, optimization engine, documentation and branding, is owned by Qovox and protected by intellectual-property laws. Subject to these terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the service. The JavaScript wrapper and other files included in your output package may be used as part of your applications, unless the package includes a licence file stating otherwise.
8. Disclaimer of warranties
The service and all output packages are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted or error-free operation. We do not warrant that compressed models will meet your accuracy, latency or size targets or run on every browser or device.
9. Limitation of liability
To the maximum extent permitted by law, Qovox and its founders, officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or related to the service or these terms, even if advised of the possibility of such damages.
Our total liability for all claims relating to the service will not exceed the greater of the amount you paid to Qovox in the twelve months before the event giving rise to the claim, or one hundred US dollars (US$100).
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. Nothing in these terms limits liability that cannot be limited by law.
10. Indemnification
You agree to defend and indemnify Qovox and its personnel against claims, damages, losses and expenses (including reasonable legal fees) arising from your uploaded content, your use or distribution of compressed models or output packages, your violation of these terms or applicable law, or your infringement of another party's rights.
11. Suspension and termination
You can stop using the service and delete your account at any time. We may suspend or terminate access, with or without notice, if you breach these terms, put the service or others at risk, or if required by law. On termination your right to use the service ends and unused credits are forfeited, except where the law requires otherwise. Sections that by their nature should survive termination, including ownership, disclaimers, liability limits, indemnification and governing law, will survive.
12. Changes
We may update these terms from time to time. We will change the date above and, for material changes, give notice by email or in the product before they take effect. Continuing to use the service after the effective date means you accept the updated terms.
13. Governing law
These terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law rules. Courts located in Texas will have exclusive jurisdiction over disputes, except that either party may seek injunctive relief in any competent court to protect intellectual property. If you are a consumer, you also keep any mandatory rights that the law of your country of residence gives you. If any part of these terms is found unenforceable, the rest remains in effect.
